Effective Date: 5th September 2025

These Disconnection Terms and Conditions (the “Terms”) form part of all Service Agreements entered into with BDR Group from 5 September 2025 onwards. By signing a Service Agreement with BDR Group on or after this date, the Client acknowledges and agrees to be bound by the following provisions regarding disconnection and payment.

1. Disconnection & Offboarding Fees

1.1 Where a Client requests the disconnection or offboarding of services supplied by BDR Group, the following charges shall apply in addition to the contracted costs:

1.2 All disconnection charges are exclusive of VAT (where applicable), which shall be payable by the Client in addition to the stated amounts.

1.3 Disconnection requests must be made in writing to BDR Group and will only be actioned once the applicable charges have been received in full.

1.4 Each number including DDI & DDI Ranges that port away from a BDR Telephony platform carries a £30.00 per number exit charge.

2. Scope of Disconnection

2.1 The above charges cover only the administrative and technical processes required by BDR Group to safely and effectively disconnect or offboard the relevant services.

2.2 Any additional work requested by the Client outside of the standard disconnection process may be subject to further charges, to be agreed in writing between the Client and BDR Group.

3. Payment Terms

3.1 As of 5 September 2025, all new customer orders are subject to fourteen (14) day payment terms, unless alternative payment terms are expressly stipulated within the Client’s signed Service Agreement.

3.2 Disconnection fees are payable in advance and must be settled in full prior to BDR Group initiating the disconnection process.

4. General Provisions

4.1 BDR Group reserves the right to amend or update these Terms at any time. Any such changes shall take effect upon publication on the BDR Group website.

4.2 Nothing in these Terms shall affect the Client’s statutory rights under applicable law.

4.3 These Terms shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
